Terms of Use

The rules and the service commitments that govern your use of id.codes. We have written them to be clear about what we do, what you are responsible for, and how risk is shared between us.

Version 1.0 · June 2026

id.codes is a business-to-business (B2B) service exclusively. These Terms of Use and Service Level Agreement ("Terms") form a binding agreement between Fashion Business Collective Ltd, trading as id.codes ("id.codes", "we", "us", "our"), and the business that subscribes to the Service ("Customer", "you", "your"). id.codes is not offered to consumers and must not be used for personal, family, or household purposes. We typically provide you with a quote, whether through our account management team, a partner, or our online terminals; accepting that quote binds you to these Terms, unless different terms have been specifically agreed in writing by our account management team. If you have signed a separate order form or written agreement with us (an "Order Form"), it prevails over these Terms to the extent of any conflict.

1. Definitions

  • Service - the id.codes platform, including the control panel, code generation tools, field mapping, hosted product pages, APIs, connectors, and documentation.
  • Code - a QR code, GS1 Digital Link, or other identifier generated through the Service from your product identifiers.
  • GS1 Digital Link - a web address that encodes GS1 keys (such as a GTIN) in accordance with the GS1 standard.
  • Digital Product Passport or DPP - the structured, hosted product record that a Code may resolve to, containing the Product Data you choose to publish.
  • Hosted Page - the product information page that id.codes hosts and serves when a Code is scanned or resolved.
  • Product Data - the identifiers, attributes, content, images, and other information you upload, map, or publish through the Service, including all DPP content.
  • GTIN / GCP - a Global Trade Item Number and a GS1 Company Prefix, each issued and licensed by GS1 or a GS1 Member Organisation.
  • EU 10-Year Hosting Guarantee (the "Hosting Guarantee") - the optional, separately priced, prepaid annual add-on described in Section 6, which you may buy or not buy for any Licence Year, and under which Codes created in a paid Licence Year stay hosted and resolvable online for 10 years from creation. It is entirely optional and is referred to in these Terms as the "Hosting Guarantee".
  • Licence Year - a 12-month period of your subscription.
  • Compliance Mode - the state described in Section 6 in which a Code continues to resolve to a standard id.codes template rather than your full DPP.
  • Connected Systems - third-party applications integrated with the Service, including PLM systems and other business tools.
  • Partner - a referral or specialist partner through whom you are introduced to, or through whom you receive, the Service.
  • Plan - the subscription tier you select, which determines platform access, code volumes, features, and pricing.
  • Beta or Preview Services - any feature we identify as beta, preview, early access, trial, or experimental.
  • Aggregate Data - anonymised, de-identified, and statistical data derived from use of the Service that does not identify you, any individual, or any specific product.

2. The Service

id.codes takes the product identifiers your business already uses, maps them to GS1 standards, generates compliant Codes, and hosts the product pages those Codes resolve to. You choose how much Product Data each Code carries, from basic GS1 identification through to a full Digital Product Passport.

id.codes provides technical infrastructure. It does not provide legal, regulatory, customs, or compliance advice, and nothing in the Service constitutes such advice. You are responsible for deciding what your products require and for the content you publish. By accessing or using the Service, you agree to these Terms. If you do not agree, you must not use the Service.

3. GS1 Identifiers and Standards

id.codes is an independent software provider. It is not GS1, is not affiliated with, endorsed by, or certified by GS1 or any GS1 Member Organisation, and does not issue, license, or grant any rights in GTINs, GS1 Company Prefixes, or any other GS1 identifier.

You are solely responsible for holding and maintaining valid, current licences for all GS1 identifiers you use with the Service, directly from GS1 or its Member Organisation. You warrant that you are entitled to use every identifier you submit. If your GS1 licence lapses, is withdrawn, or was never validly held, the affected Codes may cease to be compliant or valid, and that is your responsibility and not ours.

id.codes aims to implement the published GS1 standards (including the GS1 Digital Link standard) so that the Codes we generate are compliant with those standards. GS1 standards are maintained by GS1 and may change, and we do not warrant that any Code or implementation will remain compliant with any GS1 standard. We take no responsibility for inaccuracies or incompatibilities that result from the published GS1 standards themselves, and we accept no liability for changes to GS1 standards or for any claim that an identifier, standard, or implementation infringes the rights of any third party.

4. Digital Product Passports and Regulatory Compliance

id.codes is designed to help you meet requirements such as GS1 Sunrise 2027 and the EU Ecodesign for Sustainable Products Regulation (ESPR) Digital Product Passport rules. The Service aims to provide the technical means to publish and host compliant Codes and Hosted Pages. It does not determine, and does not warrant, that your products or your Product Data satisfy any law or regulation.

You are solely responsible for:

  • The accuracy, completeness, lawfulness, and regulatory sufficiency of all Product Data and DPP content you publish;
  • Determining which regulations, data fields, retention periods, and disclosures apply to each of your products, which depend on your product category and markets and are evolving over time;
  • Ensuring you have all rights and consents needed to publish your Product Data, images, and other content;
  • Notifying us if you believe a feature you need to achieve your compliance is missing from the Service, so that we can consider it. We provide technology only, and you remain responsible for ensuring your own compliance; identifying any gap between your compliance needs and the Service is your responsibility.

Regulatory requirements for Digital Product Passports are new, are being introduced in stages, and are subject to delegated acts and national implementation that may change. We provide the platform in good faith and update it as the standards mature, but we do not warrant that any DPP, Code, or Hosted Page meets, or will continue to meet, the ESPR, any delegated act, or any other legal requirement. Compliance is a shared effort in which you supply and are responsible for the content and the regulatory determinations.

5. Hosting, Resolution and Service Levels

For the generally available (non-beta) Service, id.codes commits to 99.85% monthly availability of the code resolution service, measured as the ability of a generated Code to resolve to its Hosted Page. This excludes scheduled maintenance, Beta or Preview Services, force majeure as defined in Section 18, and failures of third-party networks, Connected Systems, or your own systems.

Our underlying infrastructure is hosted in a UK Tier IV, ISO 27001 certified data centre with redundant infrastructure designed for substantially higher resilience. Any availability the facility achieves above our committed figure is for our own operational benefit and does not increase, and is not, the service level we commit to you, which is the 99.85% target stated above.

If we fail to meet the committed monthly availability, your sole and exclusive remedy is a service credit against future fees, calculated pro-rata to the shortfall and applied on request. Service credits in any billing period are capped at 50% of the fees paid for that period, are not redeemable for cash, and are the only remedy for any failure to meet a service level.

6. The EU 10-Year Hosting Guarantee (Optional Add-On)

The Hosting Guarantee is an optional, separately priced add-on. It is entirely optional: the 10-year guarantee arises only where you have chosen to purchase and have paid the published Hosting Guarantee fee for the relevant Licence Year. It is not included in the base Plan, does not apply automatically, and no hosting guarantee exists for any Licence Year in which the Hosting Guarantee has not been purchased and paid. Where the Hosting Guarantee has been purchased and paid for a Licence Year, every Code generated during that Licence Year will remain live and resolvable for 10 years from that Code's creation date, even if you later end your subscription, unless you delete those Codes from the platform for your own business reasons.

The following defines and bounds the Hosting Guarantee:

  • It is optional and purchased per Licence Year. The 10-year guarantee applies only to Codes created during a Licence Year in which the Hosting Guarantee was active and paid. Codes created in a Licence Year without the Hosting Guarantee are not covered.
  • You only pay for the years you need it. It is not an ongoing or perpetual obligation, and prepayment for one Licence Year does not extend cover to Codes from other years.
  • You control deletion. If you delete a Code from the platform, the guarantee for that Code ends. We are not responsible for the consequences of deletions you make.
  • What is guaranteed is that the covered Code remains resolvable to a Hosted Page for the period. The guarantee does not warrant the accuracy, completeness, or regulatory sufficiency of the content, which remains your responsibility under Section 4.
  • The Hosting Guarantee is subject to Section 18 (Force Majeure) and to the limitation of liability in Section 14.
  • Longer retention periods for certain product categories may be available under a separate enterprise Order Form.

Our Continuity Commitment

The Hosting Guarantee is a direct commitment by Fashion Business Collective Ltd. It is not held or guaranteed through any third-party escrow arrangement. We undertake to maintain the hosting and server capacity needed to keep covered Codes resolvable for their guaranteed 10-year periods, including after your subscription has ended and regardless of whether your business continues to exist. This obligation forms part of the assets and undertakings of the Service: if we sell or transfer the Service or the id.codes business, the obligation to honour paid Hosting Guarantees transfers to the acquirer, who assumes responsibility for the remaining guaranteed periods. This commitment is subject to Section 18 (Force Majeure) and to the limitation of liability in Section 14.

Compliance Mode on Non-Payment

We do not delete your Codes immediately on non-payment or on the end of a subscription. Instead, affected Codes may transition to Compliance Mode, in which the Code continues to resolve but displays your required product data using the standard id.codes template rather than your full, enriched DPP. Codes covered by a paid Hosting Guarantee remain live for their guaranteed period as described above. Codes not covered by the Hosting Guarantee may, after a reasonable period and notice, cease to resolve.

Express release where the Hosting Guarantee is not paid. Where you have not purchased and paid the Hosting Guarantee for the Licence Year in which a Code was generated, you acknowledge and agree that we have no obligation to retain, host, or keep that Code resolvable beyond the term of your active subscription. On expiry or termination of your subscription you expressly and irrevocably release us from any such obligation in respect of those Codes, and you remain solely responsible for any consequence of those Codes ceasing to resolve.

7. Accounts, Configuration and Security

You must provide accurate registration information and keep your account secure. You are solely responsible for:

  • Configuring users, roles, and permissions correctly, and for the acts and omissions of every user and administrator you authorise;
  • Creating credentials only for authorised individuals and keeping all credentials and API keys confidential. Any activity under your credentials is deemed authorised by you;
  • Ensuring that data from your own systems and from any third-party data provider or Connected System is supplied in a format and protocol compatible with the Service. We are not obliged to process data feeds that do not meet our technical requirements;
  • The accuracy of your field mapping and of every value you map into a Code or DPP.

You must notify us immediately of any unauthorised access or security breach. Where we reasonably suspect that your account, credentials, or systems have been compromised or misused, we may require an independent third-party audit of the affected systems at your expense, and you agree to cooperate.

How we protect your integration credentials

Where you provide credentials for a Connected System (such as a PLM or other API key and secret), we encrypt them using a hardware-backed, non-exportable key held in a Hardware Security Module certified to FIPS 140-2 Level 3, via Google Cloud Key Management Service in a UK data centre. Your credentials reach us over a TLS-encrypted connection, are encrypted inside the hardware module, and are stored only as ciphertext bound to your account; the plaintext is never written to disk or to any log, and the encryption key cannot be exported by us or by the cloud provider.

While we protect your credentials and data on our side as set out above, we do not control and accept no responsibility for the security, data handling, key storage, availability, or services of any Connected System itself. How a Connected System stores and protects your data and credentials is determined by that third party and its own terms, not by us.

8. Fees and Payment

Plans are priced principally on the volume of new Codes generated in each Licence Year, whether at SKU, batch, or serial level. Previously generated Codes remain live and manageable in line with your Plan and any Hosting Guarantee. The Hosting Guarantee and any overage are charged in addition.

  • Fees are billed in advance and are quoted in GBP unless otherwise stated, exclusive of VAT and any other applicable taxes, which you must pay.
  • If your usage exceeds the limits in your Plan or Order Form, overage is charged at the applicable rate.
  • Late payments may accrue interest at 8% per annum or 7% above the Bank of England base rate, whichever is greater, and may result in suspension of new code generation and transition of affected Codes to Compliance Mode under Section 6.
  • Where your usage profile changes materially during a period, including as a result of a merger, acquisition, or significant growth, we may review and adjust your Plan and pricing on reasonable notice.

Cancellation and Refunds

You may cancel renewal at any time, with effect from the end of your current Licence Year. Fees are non-refundable once a Licence Year has begun, including fees for Codes already generated and for any Hosting Guarantee, which is non-refundable once purchased. Cancellation does not entitle you to a refund of Codes generated, and the effect of cancellation on your Codes is governed by Section 6 (Compliance Mode and the express release) and Section 19.

9. Your Content and Public Pages

You retain ownership of your Product Data. You grant us a worldwide, non-exclusive licence to host, store, process, reproduce, translate, route, and display your Product Data and Hosted Pages as needed to operate the Service, and to keep covered Codes resolvable for any period guaranteed under a Hosting Guarantee.

Hosted Pages are, by their nature, publicly accessible to anyone who scans or resolves a Code. You are responsible for ensuring that you do not publish, in any public DPP or Hosted Page field, any personal data, confidential information, or other content that should not be public. You warrant that your Product Data and content do not infringe the rights of any third party and are lawful to publish.

Publishing and Unpublishing

The Service lets you control whether each Code's Hosted Page is published (scannable) or unpublished (not scannable). You may issue Codes and keep them unpublished until you are ready, and you may unpublish a Code at a later date, for example if a shipment is lost or stolen. You control, and are solely responsible for, the publish state of every Code. Choosing to publish, to unpublish, or to keep a Code unpublished is your decision, and we are not responsible for the consequences of a Code being scannable or non-scannable at any given time. You remain responsible for meeting any regulatory obligation to keep a Digital Product Passport accessible (for example under the ESPR), and for not relying on unpublishing where the law requires the Passport to remain available. Unpublishing changes visibility only; it is not deletion and does not by itself affect any Hosting Guarantee under Section 6.

Languages and Localisation

You select which languages are enabled for your Hosted Pages, and you control which Product Data is shown in each enabled language. Where a Code is scanned, the Service serves a default language based on the scanner's approximate location, chosen only from the languages you have enabled. Any AI-assisted translation is optional, is used only if you choose to use it, and does not change your responsibilities under Section 4. You remain responsible for reviewing, approving, and ensuring the accuracy of the content you publish in each language.

Sustainability and Consumer Claims

Digital Product Passports and Hosted Pages may carry sustainability, environmental, materials, origin, and other marketing claims directed at consumers. You are solely responsible for the accuracy, substantiation, and legality of all such claims, and for compliance with all applicable consumer-protection, advertising, and green-claims laws. We do not review, verify, or endorse the claims you publish, and we accept no liability for them.

10. Intellectual Property

All intellectual property rights in the Service, including its software, the control panel, code generation and mapping engines, Hosted Page templates and formats, screen layouts, documentation, and branding, are owned by Fashion Business Collective Ltd or its licensors. These are our "Proprietary Items", and you acquire no right, title, or interest in them, nor any joint ownership of any configuration or template you set up, beyond a limited, non-exclusive, non-transferable licence to use the Service for your internal business purposes in accordance with your subscription.

We may generate, use, and retain Aggregate Data to operate, secure, analyse, and improve the Service and for any other lawful business purpose. Aggregate Data does not identify you, any individual, or any specific product, and we covenant that we will not attempt to re-identify it.

Improving Results for You

Separately from Aggregate Data, we may use your own Product Data to improve the results, configuration, or outputs of the Service specifically for you, but only where you have given us specific permission to do so. Any such use is subject to the confidentiality obligations in Section 16. We do not use your Product Data to improve results for, or to train models for, any other customer.

11. Partners and Resale

Where you are introduced to or receive the Service through a Partner, the Partner is not our agent, and we are not responsible for any representation, advice, or service provided by the Partner. Your agreement for the Service is with us, on these Terms, unless a separate Order Form states otherwise.

Where you are permitted to provide id.codes outputs to your own clients, or to embed the Service in a solution you deliver to others, you must flow down terms to those clients that are at least as protective of id.codes as these Terms, including the disclaimers and limitations in Sections 3, 4, 10, and 14. id.codes has no contractual relationship with, and accepts no liability to, your clients or end users, and you indemnify us against any claim arising from their use of Codes, Hosted Pages, or outputs.

12. Indemnification

You agree to indemnify and hold harmless Fashion Business Collective Ltd, its directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising from:

  • Your Product Data, DPP content, or anything published through your Hosted Pages, including any inaccuracy, unlawfulness, or infringement of third-party rights;
  • Your use of GS1 identifiers, or your lack of a valid GS1 licence;
  • Your failure to meet any regulatory requirement applicable to your products;
  • Your breach of these Terms or any applicable law, or use of the Service by your clients, end users, or any Partner-introduced downstream party.

We will indemnify you against third-party claims that the Service, as provided by us and used in accordance with these Terms, infringes that third party's intellectual property rights, provided you notify us promptly, give us sole control of the defence and settlement, and cooperate. This indemnity does not apply to claims arising from your Product Data, from GS1 identifiers or standards, from modification of the Service by anyone other than us, from combination with systems or data not provided by us, or from your failure to apply an update or workaround we have made available.

13. Warranties and Disclaimers

We take the quality and reliability of the Service seriously and work continuously to improve it. Subject to the express commitments in these Terms, and to the fullest extent permitted by law, the Service is provided "as is" and "as available".

To the fullest extent permitted by law, we disclaim all warranties, conditions, and representations of any kind, whether express, implied, or statutory, including any implied warranties of satisfactory quality, merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, timely, secure, or free from errors, viruses, or harmful components, that any Code, DPP, or Hosted Page will meet any legal or GS1 requirement, or that the Service will meet your specific requirements or achieve any particular outcome.

The Service relies on third parties, including hosting and infrastructure providers, GS1, translation and routing services, PLM and Connected Systems, and our payment provider. We are not responsible or liable for the acts, omissions, availability, or performance of any third party, and third-party services are used subject to their own terms.

14. Limitation of Liability

To the fullest extent permitted by law:

  • We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, nor for any loss of profits, loss of business, loss of anticipated savings, loss of goodwill, loss or corruption of data, or regulatory fines or penalties, in each case however arising and whether or not foreseeable;
  • We shall not be liable for any personal injury, death, or damage to physical property arising from your products or from reliance on any Code, DPP, or Hosted Page, except to the extent such liability cannot be excluded under applicable law;
  • Subject to the paragraphs below, our total aggregate liability arising out of or in connection with these Terms and the Service, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, shall not exceed the greater of (a) the total fees paid by you to us in the six (6) month period immediately preceding the event giving rise to the claim, or (b) £1,000.

Where we are found liable for a failure of the Hosting Guarantee, our liability is limited to using reasonable efforts to restore resolution of the affected Codes and to the applicable service credit and cap above; it does not extend to your regulatory, customs, or commercial consequences.

Exceptions to the cap. The cap does not apply to your obligations to pay fees due, to your indemnification obligations under Sections 11 and 12, to your unauthorised use of the Service, or to either party's breach of confidentiality.

Liabilities not excluded. Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot lawfully be excluded. These limitations reflect the allocation of risk between us, which is reflected in the fees.

Time limit for claims. To the fullest extent permitted by law, you must bring any claim arising out of or in connection with these Terms or the Service within 12 months of the date on which the event giving rise to the claim occurred, after which the claim is barred.

15. Data Protection

We process personal data in accordance with UK GDPR and the Data Protection Act 2018, and our Privacy Policy forms part of these Terms. In respect of personal data you upload for processing through the Service, you are the controller and we act as your processor; in respect of your account and contact data, we are the controller. We do not sell personal data. Our processing of personal data on your behalf is further governed by our Data Processing Agreement, which forms part of these Terms.

By subscribing to and using the Service, you authorise us to host and process your data in the United Kingdom, unless a different hosting location is specifically agreed with you in writing. The United Kingdom is our default hosting location, and customers in other regions, including the EU and the United States, are normally served from our UK servers. Where specifically agreed in writing, the Service itself may instead be hosted in another region, such as an EU or US data-centre instance; even then, account management is carried out from our UK office on UK-based servers, and your business account information is stored in the United Kingdom. Where personal data is transferred internationally, we rely on appropriate safeguards including standard contractual clauses. Because Hosted Pages are public, you must not place personal data in any public DPP field, and you warrant you have a lawful basis and all consents for any personal data you do provide to us.

Scan Location Data

When a Code is scanned, the Service may record the approximate location of the scan, derived from the scanner's IP address, for reporting to you. This supports product-location intelligence, such as confirming that products appear in expected distribution channels and helping identify potentially diverted, lost, or stolen shipments. The Service is focused on product location, not on identifying or tracking individual consumers, and does not seek to identify the person who scans a Code. If you add your own tracking, analytics, scripts, or additional data capture into your DPP or Hosted Page fields, that processing is yours alone: you act as the controller, it is outside our control, and you are responsible for its lawfulness and for any notices and consents it requires.

Government and Legal Requests

If we receive a request from a government, regulator, court, or law-enforcement authority relating to data we process on your behalf, then to the extent we are legally permitted we will redirect the request to you as the controller and notify you, so that you may respond or seek a protective order. We will disclose such data only where we are legally compelled to do so, and only to the extent required. You are responsible for responding to requests that relate to your Product Data or the content of your Hosted Pages.

16. Confidentiality

Each party agrees to keep confidential all information received from the other that is marked confidential or would reasonably be understood to be confidential, and not to disclose it without prior written consent. This does not apply to information that is or becomes public through no fault of the receiving party, was already known to it, is independently developed, or is required to be disclosed by law. These obligations survive termination. Product Data you choose to publish on a Hosted Page is, by definition, not confidential once published.

17. Acceptable Use, Suspension and Changes

You agree to use the Service only for lawful purposes. You must not generate Codes for products you are not entitled to identify, publish unlawful or infringing content, reverse-engineer or attempt to extract our software or templates, share credentials with unauthorised parties, scrape or overburden the Service, or use it in any way that could damage or impair it.

We may suspend access, in whole or in part, immediately and without liability, where we reasonably believe there is an unacceptable risk, including suspected fraud, a security threat, unlawful or harmful use, or non-payment. We may modify, improve, deprecate, or discontinue features with reasonable notice, and we are not obliged to maintain obsolete versions. Where we issue a required update to an API or connector, you must adopt it within the period stated, or within 30 days if none is stated, after which we may restrict access to superseded versions.

Beta and Preview Features

Any feature we offer as a Beta or Preview Service is provided strictly "as is" and "as available", is used at your sole risk, and is excluded from the service levels in Section 5. We may change, suspend, or withdraw any Beta or Preview Service at any time without notice or liability, and to the fullest extent permitted by law we accept no liability arising from your use of it.

Custom Domains

Where your Plan allows you to route Codes through your own custom domain, you warrant that you hold all rights to that domain and are responsible for its DNS configuration and renewal. We may suspend custom-domain routing where reasonably required for security or stability. If your subscription lapses or the domain becomes unavailable, affected Codes will revert to resolving on the id.codes domain so that they continue to function.

18. Force Majeure

Neither party is liable for any failure or delay in performance (other than payment obligations) caused by circumstances beyond its reasonable control, including natural disasters, war, terrorism, pandemics, government action, power, internet, or telecommunications failures, and third-party service outages. The affected party will notify the other promptly and mitigate the impact. If the event continues for more than 60 days, either party may terminate on written notice.

19. Term, Termination and Effect on Codes

Either party may terminate immediately on written notice if the other commits a material breach not remedied within 14 days of notice, or becomes insolvent or ceases to trade. On termination, your right to use the Service ceases.

The effect on your Codes is as follows: Codes covered by a paid Hosting Guarantee remain live and resolvable for their guaranteed period under Section 6; other Codes may transition to Compliance Mode and, after a reasonable period and notice, may cease to resolve. For any Licence Year in which no Hosting Guarantee was purchased and paid, you expressly release us from any obligation to retain or keep the relevant Codes resolvable once your subscription expires, as set out in Section 6. We will make your Product Data available for export for at least 90 days following termination, after which it may be securely deleted, subject to any Hosting Guarantee.

20. International Use and Export Compliance

The Service is provided from the United Kingdom to business customers internationally. Regardless of where you access it, these Terms are governed by English law as set out in Section 22, and the United Nations Convention on Contracts for the International Sale of Goods (CISG) does not apply. You are responsible for complying with all export control and trade sanctions laws applicable to you, and you warrant that you are not a sanctioned or restricted party and are not located in a comprehensively sanctioned territory.

21. Amendments

We may update these Terms from time to time. For material changes, we will notify you by email or through the platform at least 30 days before they take effect. If you do not agree, you may terminate within 30 days of notice without penalty. Continued use after the effective date constitutes acceptance.

22. Governing Law and Disputes

These Terms are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction, subject to the step below. Before commencing formal proceedings, the parties will attempt in good faith to resolve any dispute: the party raising it will give written notice, and senior representatives will meet within 30 days to seek resolution. This does not prevent either party from seeking urgent interim or injunctive relief, in particular to protect intellectual property or confidential information.

23. Survival

The following survive termination or expiry: Section 6 (in respect of paid Hosting Guarantees), Section 8 (sums owed), Sections 10 to 16, Section 20, Section 22, this Section 23, and any provision which by its nature is intended to survive.

24. General

  • Entire agreement and precedence - these Terms, our Privacy Policy, and any Order Form are the entire agreement. An Order Form prevails over these Terms, and these Terms prevail over other incorporated documents, only to the extent of any conflict.
  • Severability - if any provision is unenforceable, the rest continues in force.
  • Waiver - failure to enforce a right is not a waiver of it.
  • Assignment - you may not assign without our prior written consent; we may assign in connection with a merger, acquisition, or sale of assets.
  • Notices - notices must be sent to the email associated with your account or to the address on our website.
  • Publicity - either party may reference the existence of the commercial relationship, including company names and logos, in marketing materials, case studies, and investor communications. Naming an individual employee requires that individual's consent, which is deemed given where they voluntarily take part in interviews, testimonials, or events. Either party may withdraw publicity consent on 30 days' written notice.
  • Third-party rights - no person who is not a party may enforce these Terms under the Contracts (Rights of Third Parties) Act 1999.

25. Contact
